Your business is required by law to have a registered agent (or “RA” for short) in every state in which you operate.  Your RA’s primary job is to receive legal documents, including lawsuits, subpoenas, and notices from the state.  In most cases, the legal documents your registered agent receives for your company require some kind of action or response, and if you work with Skepsis Legal as your registered agent, we can also help you figure out what your next steps are when a critical legal document comes in the door.

Another legal requirement in most states is that your RA is available to receive legal paperwork at their offices during normal business hours.  So, if your business operates out of your home, remotely, by appointment only, or at irregular hours, it’s important you hire an outside RA to make sure you’re complying with legal requirements.

What Is A Registered Agent?

A registered agent is someone who is designated to receive legal documents and other important paperwork on behalf of your business. This could include things like tax notices, lawsuits, and other types of official correspondence. By having a registered agent, you can ensure that you receive these documents in a timely manner and are able to respond appropriately. Who Can Be A Registered Agent?

Your registered agent can be a person or a business.  They should be at least 18 years old in most states, and they must have a physical address in the state.  They must be open and available to receive legal paperwork during normal business hours.  They must be someone you trust absolutely, because you’d hate to lose a lawsuit just because your registered agent never told you it existed!

What Do Skepsis Legal’s Registered Agent Services Include?

Our registered agent services include the following scope of work:

  • We’ll file the paperwork with the state to change your RA to Skepsis Legal (or our local partner in jurisdictions where we do not have a physical presence).
  • We’ll serve as your business’s registered agent for the duration of your subscription with us.
  • We’ll ensure you receive all mission-critical legal and other paperwork and also make sure you know what you need to do with each item.
  • We’ll file your company report each year so your company is not dissolved by the state without your knowledge or permission.
  • Fees we pay to state agencies on your behalf are billed extra.

How Much Do Skepsis Legal’s Registered Agent Services Cost?

Skepsis Legal’s registered agent services are a low flat annual fee.  You’ll only be billed once per year (except fees paid to state agencies that you’d have to pay anyway).

What else do I need to know?  (The Fine Print)

  • At Skepsis, we provide legal services for companies operating in ID, WA, OR, CA, and IA.  If your registered agent services are for a different state, then we will work with one of our local subcontractors to act as your registered agent, and we will still ensure in-house all paperwork we receive is handled properly, including annual reports.
  • In addition to our flat and subscription fees for this service, we will collect a $500 deposit.  This deposit is a security deposit, to be returned to you at the end of our representation.  It will be held separately in trust.  Unlike other firms, we do not use these trust funds to pay your invoices for continuing services, and these funds are a security deposit only.  You are required to pay your invoices timely, via autopay per our agreement, regardless of the amount of funds held in trust.
  • For businesses based out of CA: Flat fees for the work described herein are earned as work on the matter is completed, in the amounts that would have been earned had the work been performed hourly, or in proportion to the percentage of the entire project completed, whichever is more.  Flat fees will be deposited in the firm’s trust account held in Washington until such time as they are earned.
  • For all other businesses:  Flat fees for the work described herein are due prior to beginning work, and are earned immediately on receipt and will not be placed into a trust account.  This does not alter your right to terminate the attorney-client relationship, and if the relationship is terminated, you may be entitled to a refund in whole or in part if the agreed-upon legal services have not been completed.  To calculate whether a refund is owed, we will calculate fees earned on the basis of hourly rates in effect at the time the work was performed.
  • Posted pricing is the starting price and based on several assumptions about the scope and complexity of the project.  Prior to beginning work, we will evaluate your project and confirm pricing.  If your pricing is higher and you do not agree, then any fees paid will be refunded to you.
